Terms of Engagement

Overview

These Terms of Engagement outline the general framework governing professional engagements with Pernicia Private Limited (India) and Pernicia Corp (Canada). Individual engagement contracts contain specific terms, deliverables, and obligations that take precedence over this general framework.

Engagement Structure

All Pernicia engagements follow a structured process:

• Discovery: Initial consultation and scope assessment
• Proposal: Written scope document with deliverables, timeline, and success criteria
• Agreement: Formal engagement contract with detailed terms
• Delivery: Structured delivery with regular checkpoints
• Handoff: Documentation, knowledge transfer, and support period

Intellectual Property

Unless otherwise specified in the engagement contract:

• Custom deliverables: Intellectual property in work created specifically for you transfers to you upon full payment
• Pre-existing materials: Pernicia retains rights to methodologies, frameworks, and tools that existed before the engagement
• General learnings: Pernicia may use general knowledge, skills, and experience gained during the engagement for other clients, without disclosing your confidential information

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. Confidential information includes, but is not limited to:

• Business strategies, plans, and financial information
• Technical architecture, code, and systems documentation
• Customer data and internal processes
• Engagement terms and pricing

Confidentiality obligations survive the termination of the engagement for a period of three (3) years.

Payment Terms

Payment terms are specified in individual engagement contracts. Generally:

• Invoices are due within 30 days of issuance
• Milestone-based payments may be structured for longer engagements
• Late payments may incur interest at the applicable statutory rate

Limitation of Liability

To the maximum extent permitted by law, Pernicia's total liability for any engagement shall not exceed the fees paid for that engagement. Pernicia is not liable for indirect, consequential, or incidental damages.

Governing Law

For engagements with Pernicia Private Limited: These terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in [jurisdiction to be specified].

For engagements with Pernicia Corp: These terms are governed by the laws of the Province of British Columbia, Canada. Disputes shall be subject to the exclusive jurisdiction of courts in British Columbia.

Amendments

Pernicia may update these general terms from time to time. Existing engagements remain subject to the terms in effect at the time of signing. New or renewed engagements will be subject to the then-current terms.
